Africa Trade Solutions registers companies and organisations across Zimbabwe—end-to-end.

Overview

As a trusted consultancy, Africa Trade Solutions assists clients to register business entities in Zimbabwe under the
Companies and Other Business Entities Act (Chapter 24:31 of 2019). We advise on the most suitable structure and manage
documentation, filings, and post-registration compliance.

Entity Types We Register (Section 5)

1) Private Limited Company

A company formed by one or more persons. Members’ liability is limited to any unpaid amount on their shares. It cannot offer shares to the public.

2) Public Limited Company

May offer shares to the public and is subject to stricter regulatory requirements—suited to larger enterprises seeking public investment.

3) Company Limited by Guarantee

Non-profit vehicle where members’ liability is limited to what they undertake to contribute on winding up (ideal for charities/associations).

4) Private Business Corporation (PBC)

Simplified structure for small enterprises. Members can be individuals or corporate entities; liability is limited.

5) Co-operative Company

Formed to serve members’ mutual interests—common in agriculture, retail, and housing.

6) Foreign Company

Incorporated outside Zimbabwe but establishing a place of business locally. Registration is required to operate legally in Zimbabwe.

7) Partnerships, Syndicates, Joint Ventures & Associations

While not companies, Section 5(g) allows voluntary registration for legal recognition and enhanced governance.

Frequently Asked Questions (FAQ)

1) Which structure should I choose?

It depends on scale, funding model, ownership/control preferences, and compliance appetite. We map these to Section 5 options and recommend the best-fit structure.

2) How long does registration take?

Typical timelines range from 5–10 business days once all documents are complete and compliant. Name objections or missing items can extend timelines.

3) What documents are required?

Common items include reserved name, registered office details, directors/members IDs and contacts, share/interest allocations, constitutive documents, and prescribed fees. Exact lists vary by entity type.

4) Do you assist after registration?

Yes—annual returns, amendments (name, office, directors, share capital), and ongoing governance support.
